ProfoundOS legal
Terms of Use
Effective 20 September 2026
These Terms govern access to ProfoundOS, a business operations service provided by Profound WLL in the Kingdom of Bahrain. By using the service, the subscribing business (the “Customer”) agrees to these Terms and any applicable order form or written service agreement.
1. Service and authorized use
ProfoundOS provides company workspaces for point of sale, field sales, printing operations, inventory, customer accounts, purchasing, payments, accounting, VAT and reporting according to the Customer's enabled business profile. The Customer may use the service only for lawful internal business purposes and must ensure that each user is authorized, trained and assigned appropriate access.
2. Accounts and Customer responsibility
The Customer is responsible for its users, credentials, devices, configuration, transaction entries and all information submitted through its workspace. Credentials must be kept confidential and shared accounts should not be used. The Customer must promptly disable access that is no longer authorized and notify ProfoundOS of suspected account compromise.
3. Customer Data
The Customer retains ownership of its business data, including customer, supplier, employee, product, transaction and accounting records (“Customer Data”). The Customer grants ProfoundOS the limited right to host, process, transmit and back up Customer Data as necessary to provide, secure, support and maintain the service. The Customer confirms that it has the authority and lawful basis required to submit and instruct the processing of Customer Data.
4. Acceptable use
The service must not be used to break the law, infringe another person's rights, introduce malicious code, probe or bypass security, gain unauthorized access, disrupt other workspaces, falsify transactions, abuse service capacity, or resell access unless expressly agreed in writing. Automated access must use approved interfaces and must not place unreasonable load on the service.
5. ProfoundOS intellectual property
Profound WLL and its licensors retain all rights in ProfoundOS, including its software, interface, documentation, branding and improvements. No ownership is transferred to the Customer. Feedback may be used to improve the service without identifying or disclosing the Customer's confidential information.
6. Service availability and maintenance
ProfoundOS is operated with the aim of reliable business availability, but uninterrupted or error-free operation is not guaranteed. Planned maintenance, urgent security work, third-party infrastructure events, internet or device failures, and circumstances outside reasonable control may affect access. Where reasonably practicable, material planned interruptions will be communicated in advance.
7. Backups and recovery
ProfoundOS may maintain operational backups according to its current service procedures. Backups are not a guarantee that every item can be restored at every point in time. Customers should retain exports or independent copies of records needed for statutory, audit, tax or business-continuity purposes and verify critical entries and reports.
8. Suspension and termination
Access may be suspended where reasonably necessary to address a security risk, unlawful or prohibited use, material breach, non-payment under an applicable commercial agreement, or risk to the service or other customers. Where circumstances permit, the Customer will be given notice and a reasonable opportunity to remedy the issue. On termination, access ends and Customer Data is handled under the Privacy Policy and Data Processing Terms, subject to legal retention and backup cycles.
9. Warranties and disclaimer
The service is provided with reasonable care and skill. Except for rights or obligations that cannot lawfully be excluded, ProfoundOS is otherwise provided “as available” without implied warranties of uninterrupted availability, merchantability, fitness for a particular purpose, or that use alone will satisfy the Customer's accounting, tax, employment or regulatory obligations. The Customer remains responsible for professional review of its business records and filings.
10. Limitation of liability
To the extent permitted by Bahrain law, neither party is liable for indirect, incidental, special or consequential loss, or loss of profit, opportunity or goodwill. Profound WLL's aggregate liability arising from the service will not exceed the fees paid or payable for the affected workspace during the twelve months preceding the event giving rise to the claim. This limit does not apply where liability cannot legally be limited, or to fraud or wilful misconduct.
11. Indemnity
To the extent permitted by law, the Customer will indemnify Profound WLL against third-party claims and reasonable costs arising from unlawful Customer Data, the Customer's material breach of these Terms, or use of the service without required authority, except to the extent caused by Profound WLL's breach or misconduct.
12. Changes
These Terms may be updated to reflect legal, security or service changes. Material changes will be communicated through the service, the Customer's registered contact, or another reasonable channel before they take effect where practicable. Continued use after the effective date constitutes acceptance, subject to mandatory law and any separately signed agreement.
13. Governing law and disputes
These Terms are governed by the laws of the Kingdom of Bahrain. The parties will first try in good faith to resolve a dispute through their authorized representatives. If it is not resolved, the courts of the Kingdom of Bahrain have exclusive jurisdiction, unless a separately signed agreement provides another lawful Bahrain dispute process.
